Terms and Conditions of Your Order
1. ACCEPTANCE OF TERMS
Innovas Venture To Think Ltd of R1-2 The Verdin Exchange, Winsford, Cheshire, CW7 2AN, (“IVTT”, “We”, “Our” or “Us”) provides the Enterprise Catalyst Benchmark Report(s) to your organisation and registered users (“You”), together (“the Parties”) subject to the following Terms of Service ("TOS"), which may be updated by Us from time to time without notice to You. You can review the most current version of the TOS at any time at: www.enterprisecatalyst.co.uk. This will also detail any other relevant guidelines for Service use and all such guidelines or rules are hereby incorporated by reference into the TOS.
2. DESCRIPTION OF PRODUCT
The Enterprise Catalyst uses a consistent series of questions based on robust psychological research to measure the enterprise culture of individuals and populations that allows differences to be tracked longitudinally and comparisons to be made by institution, geography or demography. The model of enterprise culture within the Catalyst includes:
- Enterprise fuel (motivation & drive, capacity to self-determine, willingness to learn);
- Entrepreneurial intentions (awareness, feasibility, desire and self-efficacy toward entrepreneurship);
- Entrepreneurial capacity (self-confidence, skills and social support networks);
- Engagement in entrepreneurial behaviours (participation in current enterprise activities);
- Engagement in entrepreneurial learning (interest and participation in enterprise educational activities);
- Entrepreneurial style (attitudes toward seeking opportunities, managing risk, exploring new ideas etc).
Whilst we use all reasonable endeavours in providing the benchmarking reports, You understand and agree that the results and interpretations presented within this report are based upon data collected from individuals at your specific organisation and that no estimate of confidence levels in the findings can be provided. We cannot be held responsible for the number of individuals that complete the Enterprise Catalyst at your organisation or the way in which individuals answer the range of questions contained within the Enterprise Catalyst.
You understand and agree that You are entirely responsible for ensuring that sufficient numbers of individuals access and complete the enterprise catalyst tool from your organisation. In addition, You must provide and are responsible for, all equipment necessary to access the Service.
3. CHARGES AND INVOICING
Payment for Benchmarking Reports must be received by Us before we dispatch the Report to You. In the case of an annual subscription, we require payment of the full annual subscription before releasing the first Report.
Where payment is required, We will explicitly detail payment requirements either online or on our Order Form. You shall also pay all applicable taxes related to charges made for the Report at the same time.
We require you to confirm the purchase by submitting a Purchase Order to Us. In the case of Orders submitted online via our Order Form we require an authorised Purchase Order Number. If a Purchase Order Number is not provided we will contact you to confirm the Purchase. We shall send a written confirmation of the purchase and an Invoice to Your stated email address detailing Your statutory requirements as well as:
- Our scope of service
- The term of the subscription
- The value of Your order
In the event that this email from Us to You bounces back to us for whatever reason, We shall instead post a letter of confirmation containing the same details to your organisation’s stated geographical address.
Payment not received within 30 days of Invoicing invalidates the purchase order.
4. DELIVERY DATES
Unless otherwise specified, We will endeavour to deliver Your Report at the following times:
- December
- July
In the case of annual subscriptions, your first report will be delivered in December and the second report in the July of the same academic year.
Reports will be delivered as a pdf document and will be sent to the email address You provide.
If you wish to change the delivery dates for Your Report from these standard times, or from the dates you specified at the time of order, you need to notify us in writing at least 30 days in advance of the new delivery date.
We will then endeavour to provide Your Report within 30 days of your specified date.
5. TERMINATION, CANCELLATION AND RENEWALS
For Annual Subscriptions of more than 1 year, We will endeavour to inform You of the subscription fee payable for subsequent years at least 60 days in advance of the anniversary of Your current subscription. We will send You an Invoice for the next years annual subscription at this time.
In the event that renewal subscription fee is not received prior to the anniversary date of Your current subscription Your Report(s) will be temporarily withheld and You may be subject to a cancellation charge (The ‘Cancellation Fee’).
The Cancellation Fee for cancelling an annual subscription before maturity is 90% of the per annum subscription fee for each year remaining. In the event of cancellation of the order, the cancellation fee for the remaining years must be made within 30 days of cancellation.
You agree that IVTT may, under certain circumstances and without prior notice, immediately terminate Your Annual Subscription. Cause for such termination shall include, but not be limited to, (a) breaches or violations of the TOS or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by You (self-initiated cancellation), (d) discontinuance or material modification to the Service (or any part thereof), (e) unexpected technical or security issues or problems, (f) extended periods of inactivity, (g) You have engaged in fraudulent or illegal activities, and/or (h) non-payment of any fees owed by You in connection with the Services.
6. IVTT PRIVACY POLICY
Registration Data and certain other information about You is subject to our Privacy Policy. For more information, see our full privacy policy at www.enterprisecatalyst.co.uk. You understand that through Your use of the Service You consent to the collection and use (as set forth in the Privacy Policy) of this information for storage, processing, and use by IVTT.
7. DATA SUBMITTED OR MADE AVAILABLE FOR INCLUSION IN THE REPORT
You agree that any data included in the Benchmarking Reports remains the property of IVTT and IVTT has world-wide, irrevocable royalty free and non-exclusive license (with the right to sub-license) to use, distribute, reproduce, modify, adapt, publish, translate, publicly perform and publicly display such Content (in whole or in part) and to incorporate such Content into other works in any format or medium now known or later developed.
8. INDEMNITY
You agree to indemnify and hold IVTT, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of Data You submit or Your use of the Reports..
9. NO RESALE OF SERVICE
You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion of the Reports.
10. MODIFICATION TO SERVICE
IVTT reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Enterprise Catalyst (or any part thereof) with or without notice. You agree that IVTT shall not be liable to You or to any third party for modification, suspension or discontinuance of the Service.
11. IVTT’s PROPRIETARY RIGHTS
You acknowledge and agree that the Reports and any necessary software used in connection with the Reports ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained in information presented to You through the Reports is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorised by IVTT, You agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Reports or the Software, in whole or in part.
12. TRADEMARK INFORMATION
The Enterprise Catalyst logo, trademarks and service marks and other IVTT logos and product names are trademarks of Innovas Venture To Think Limited. (the "IVTT Marks"). Without IVTT's prior permission, You agree not to display or use in any manner, the IVTT Marks.
13. GENERAL INFORMATION
Entire Agreement. The TOS constitutes the entire agreement between You and IVTT and governs Your use of the Reports, superseding any prior agreements between You and IVTT with respect to the Reports. You also may be subject to additional terms and conditions that may apply when You use or purchase certain other IVTT services, affiliate services, third-party content, or third-party software.
Waiver and Severability of Terms. The failure of IVTT to exercise or enforce any right or provision of the TOS shall not constitute a waiver of such right or provision. If any provision of the TOS is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other provisions of the TOS remain in full force and effect.
The section titles in the TOS are for convenience only and have no legal or contractual effect.
14. VIOLATIONS
Please report any violations of the TOS to our staff.
